- Reviewing contracts, tenders, supply agreements (for hardware, software and services), research and product development collaboration agreements, and related documents in compliance with corporate policies, advising and proposing solutions to mixed legal, business and risk issues to the business proposal teams.
- Creation of reseller agreements for on-premise and cloud delivery, end user licences for in-house products.
- Negotiating with counterparties as required by the business proposal teams.
- Preparing applications for exceptions approval in accordance with corporate policies.
- Rendering legal advice to corporate functions.
- Management of corporate secretariat function for the NCS Group
- Conducting legal training for the legal team, business and project teams, including the preparation of training materials.
- Supporting periodic audit exercise on the company and on the legal department.
- Other duties - motivation and guidance of junior team members, reviewing policies and processes of the legal function, collating and analysing data, preparing reports and policy papers for the general improvement of the legal function and processes.
- All necessary reporting and liaison with the parent company for above responsibilities, including periodic litigation reporting.
- Leadership of projects as assigned from time to time.
- Provide legal advisory and analysis
- Providing analytical and practical legal advice on a wide range of issues including contentious and non-contentious, commercial, corporate, procurement, employment, insurance, and intellectual property matters.
- Identifies highly complex legal issues related to assigned matters; develops alternative solutions and implements resolution.
- Distills complex legal issues efficiently and effectively for a business audience, often in novel or ambiguous situation.
- Keeps abreast of changes in laws.
- Provide business support and strategy
- Supports the business in achieving objectives by rendering sound legal advice, appropriately balancing business growth and legal risk.
- Advocates for a position while maintaining a collaborative and open-minded approach.
- Possesses in-depth knowledge of NCS' technology businesses supported and knowledge of the broader business impact.
- Advises Business Leaders and is recognized by these clients as both an expert in substantive law and business advice.
- Manage and support contracts and negotiations
- Regularly responds to RFPs, contracts, tenders, and vendor agreements (for hardware, software, services, and solutions - or a hybrid of these).
- Negotiates independently with customers, suppliers, or government agencies on matters of strategic importance that affect NCS' business or areas of significant importance to senior management.
- Prepares applications for exception approval in accordance with the NCS contract policy.
- Supports contractual negotiations for the region.
- Tools, Processes, and Knowledge Management
- Supports the mapping of available templates, legal scenarios, existing knowledge (templates, FAQ, Risk Assessments, etc.), as well as the revision of templates and development of tools and resources for the businesses in the region (where applicable) and the Legal organization.
- Establishes a document review process and a template database and trains the business on how best to utilize legal resources.
- Develops scalable tools and resources for the region in connection with legal support of contracts, including training on the process, related systems, and use of templates.
- Conducts or arranges in-house legal training and education for the NCS community.
- Participates in knowledge management initiatives.

- Leads cross-functional projects.
- Executes core job responsibilities in an organized and timely manner.
- External Stakeholder Management
- Where applicable, managing NCS external lawyers and consultant
- Have been called to the Bar in a major jurisdiction.
- Minimum 10 years PQE and prior private practice in a good law firm, as well as experience in in-house roles within Tech firms is an added advantage.
- Preferably with experience in Mergers & Acquisitions (M&A) and/or dispute resolution.
- Strong corporate and commercial background. Prior legal experience in corporate work, litigation or a mix of both, preferably with in-house legal experience with established technology firms.
- Possess strong linguistic ability and good people management skills.
- Strong work ethic, able to work in a focused manner and within tight timelines.
- Willing to undertake occasional travel.
- Serves as a role model and as a champion of the Legal department through work ethic, attitude and interpersonal skills.
- Bachelor's or Master's degree in Law from a reputable university, preferably from Singapore, the UK, or Australia, but open to other jurisdictions as well.
